Important Details:

Eligibility: To enter the giveaway, you must be 18 years or older and reside in a jurisdiction supported by Topper. Unfortunately, residents of New York, the Virgin Islands, Florida, the United Kingdom, and the European Union are not eligible. Additionally, you must be an active Topper user with a verified identity and have completed at least one successful transaction using the Topper widget. Your Topper account must remain in good standing throughout the giveaway period and during prize distribution.
Entry Period: The contest runs from October 1 to October 31, 2024. Transactions made within this period are eligible for entry.
Winner Notification: Winners will be selected randomly and notified via email within 72 hours after the contest period ends. Winners must respond within 72 hours with their mailing address to claim their prize. If a winner does not respond in time, a new winner will be chosen.

Who Can Enter

Topper Giveaway - Win a Limited Edition Topper by Uphold Co-Branded Ledger Nano X Wallet, valued at US$100 (the “Prize”) is open to all natural persons who:

All jurisdictions where Topper by Uphold is available excluding US New York, US Virgin Islands, US Florida, United Kingdom due to FCA regulations and all other Jurisdictions where giveaways are blocked.
are 18 or older on October 1, 2024 at 00:01 AM Eastern Daylight Time (EDT); and,
are active users of Topper and have successfully verified their identity (IDV) and completed certain Topper “know your customer” procedures;
Are an individual customer of Topper in good standing at the time the Promotion Reward is distributed.
Business Accounts excluded from promotion.

Employees of Uphold HQ Inc. and its affiliates (collectively, “Uphold”), its agencies, and members of their respective immediate families and/or persons with whom any of the foregoing are domiciled are not eligible to participate in the Giveaway.

Giveaway Period

The Giveaway starts on October 1, 2024, at 00:01 EST, concluding on October 31, 2024 at 23:59 EST (the “Giveaway Period”). To qualify for an entry, all transactions must be successfully executed on the Topper widget at http://TopperPay.com or Ledger Live by 23:59 EST on the final day of the Giveaway Period.

How to Enter

NO PURCHASE NECESSARY

For all eligible transactions you perform on the using Topper by Uphold at TopperPay.com or on the Ledger Live platform during the Sweepstakes Period, you will automatically receive an additional one (1) entry in the draw for each US$200 in value involved. Entries are granted in whole amounts only. No entries are granted for transactions if the aggregate amount transacted in the Sweepstakes Period is less than US$200 or for partial amounts above US$200 thresholds. For example, if eligible transactions total US$468.00 during the Sweepstakes Period, you will receive two (2) entries. For the purposes of calculating the amount transacted, each eligible transaction value will be converted to USD at the rate in effect on the Topper platform at the time of the transaction. There is no limit to the number of entries you may enter in the Sweepstakes via this method.

To enter without transacting, please clearly write your primary email address associated with your Uphold account and mail it to: Uphold Topper Giveaway Sweepstakes, c/o Uphold HQ Inc., 228 Park Ave. S., #50458, New York, NY 10003-1502, to be received on or before the Sweepstakes Period end date. Only one mailed in entry per person is allowed.

Random Draw

Twenty Five (25) entries will be selected at the end of the Giveaway Period in a random draw from among all eligible entries received during the Giveaway Period. The winners will then receive an email from Topper by Uphold informing them that they have won the Giveaway and will need to complete a form providing Topper account ID and additional required details. Topper by Uphold reserves the right to require proof of age and jurisdiction of residence prior to awarding any prize.

Prizes

Twenty Five (25) grand prize winning entries will be randomly selected in a draw at the end of the Giveaway Period from all eligible entries to win the Prize, each valued at US$100. All prizes are non-transferable and non-assignable. No substitutions of prizes are permitted. All prizes will be awarded. The odds of winning are dependent upon the number of eligible entries received.

Winner Notification, Form Request and Prize Delivery

The selected entrants will be notified within 72 hours of the draw via email. The selected entrants will be required to: acknowledge by email the receipt of notification of eligibility for prize, confirmation of acceptance of these Terms and Conditions, and to complete the provided form including requested information. If no response is obtained within 7 days of notification, the prize will be forfeited and may be awarded to an alternate winner in a random draw selected from the remaining eligible entries. The prize will be delivered to the winners’ address of choice within thirty (30) days of receipt of acknowledgement and completion of additional form from the winner.

General

The winners are responsible for any costs associated with claiming any prize. The winners are solely responsible for the reporting and payment of any and all taxes, if any, that may result in claiming a prize in this Giveaway.

Prizes must be accepted as awarded with no substitutions. Topper by Uphold shall bear no responsibility whatsoever for injuries, losses, or damages of any kind that result from acceptance, possession and/or use of any prize.

Topper by Uphold is not responsible for technical or computer errors, or for late, misidentified or incomplete transactions. Any transactions reasonably deemed to be fraudulent may be disqualified in the sole discretion of Topper by Uphold. This includes any transaction that does not comply with these Giveaway Terms and Conditions in any respect. Decisions of Topper by Uphold are final on all matters of fact, interpretation, eligibility, procedure and fulfillment in respect to this Giveaway. Topper by Uphold reserves the right at any time to withdraw this Giveaway or to modify, amend, or supplement these rules, in its sole discretion.

By participating in these Giveaway, winners consent to the use by Topper by Uphold of their first name and last initial and hometown for any lawful purpose, without further permission or compensation, except where prohibited by law. If you object to the use of your information in this manner, please contact us at support@uphold.com. In such circumstances, your personal information may still be required to be disclosed pursuant to relevant laws, rules and regulations, for example, on winners lists filed with regulatory authorities. The winners agree to abide by and be bound by these Terms and Conditions, and understand that the decisions of Uphold are final in all respects.

Any personally identifiable information collected during an individual's participation in the Giveaway, or by Topper by Uphold will be collected and used by Topper by Uphold and their agents for the purposes of the proper administration and fulfillment of the Giveaway as described in these Terms and Conditions, for compliance with applicable laws, rules and regulations (e.g., winners lists), and for the purposes set forth in Topper by Uphold’s Privacy Policy available at https://www.topperpay.com/legal/privacy-data-policy.

Except where prohibited, participants agree that (1) any and all disputes, claims or causes of action arising out or connected with the Giveaway or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by arbitration or alternate dispute resolution, as selected by Uphold, to take place in the Marin County, California; (2) any and all claims, judgments and awards shall be limited to actual out of pocket costs incurred in participation but in no event attorney’s fees; and (3) under no circumstances will a participant be entitled to obtain awards for and participants hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket costs, and any and all rights to have damages multiplied or otherwise increased. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions and the decisions of Topper by Uphold in connection with the Giveaway, shall be governed by and construed in accordance with the laws of the State of California, without regard for conflict of laws doctrine. Should any term or provision of this paragraph or any other rule herein be concluded to be void, unenforceable or contrary to applicable law as provided herein, such term or provision shall, but only to the extent necessary to bring the rule within the requirements of such law, be deemed to be severed from the other terms and conditions; and the remainder of these Terms and Conditions shall be given effect as if it had not included the severed item.
